All operating systems undergo release cycles and major changes, often which hopefully add new features. However, older versions stop getting supported, which is all and well but if you don't keep up with things it means that you will no longer get critical security updates and your system becomes vulnerable. That isn't the case yet with Ubuntu 10 LTS, but it's never a bad idea to stay ahead of the curve.
That being said, the purpose of the downtime is ... well, to prevent more downtime in the future.

Preventing the kind of downtime that could ... have bad consequences. >_< lol
